ACQUISITION OF FROUDE HOFMANN

The Froude Hofmann businesses were acquired by Harris Watson Holdings PLC, a UK registered group, with effect from 31st July 2007.

Harris Watson are a profitable privately owned engineering group, with a turnover in 2006-07 of over £50m, and have a consistent track record of successful investments in industrial businesses. Harris Watson is committed to continuing investment in the products and services of all the Froude Hofmann businesses.

Following the acquisition, the Froude Hofmann businesses are contained within the following legal entities (Note: our overseas service centres are subsidiaries of these three principal entities):

• Froude Hofmann Limited, Blackpole Road, Worcester, WR3 8YB, UK; a new company registered in England No: 6298578.
  
• Froude Hofmann GmbH, Heilswannenweg 50, 31008 Elze, Germany, a new company registered in Germany No: HRB 200855
• Froude Hofmann Incorporated, 45225 Polaris Court, Plymouth, Michigan, 48170 USA, a company registered with the Michigan Chamber of Commerce, No: 248-744.
